Our attorneys possesses extensive experience guiding purchasers and sellers of properties in all stages of development, including (i) developers of single tenant NN, NNN and multi-tenant retail projects; (ii) master planned developers in connection with the sale of residential tracts to homebuilders, (iii) national and regional homebuilders purchasing and disposing of residential lots from land developers, (iv) developers acquiring and disposing of land slated for condominiums, multi-family, commercial, and retail uses, (v) purchasers and sellers of distressed land deals, including partially developed projects and “broken” condominium deals, and (vi) developers acquiring unentitled land for the purpose of obtaining entitlements to sell or develop the entitled project. We routinely structure transactions to provide our clients the ability to “phase” the acquisition and development of projects to maximize returns and mitigate risks. We regularly assist our clients in gathering diligence regarding the state of the entitlements, zoning and similar legal hurdles relating to development. In addition, we regularly review and negotiate ancillary documents, such as construction contracts, easements, declarations, joint development agreements, cost-sharing agreements, and other agreements necessary for the ownership, operation and development of the property, and advise our clients on the enforceability of their rights and the other contract parties under such agreements.
